‘Limited’ has been dispensed from the names of companies considered to be a charitable or other non-profit organisation according to the Companies Act (Section 16).
The Commerce Division of the Ministry facilitates companies — registered before 2004 or from the names of non-profit companies — can request to have the word “limited” removed from companies’ name.
To do this:
- Submit a letter requesting removal of the word “limited” giving an outline of the company. Be sure to specify how the company contributes to the community and state clearly if the amendments were made to the Article of Incorporation and Associations.
- Submit the following documents:
- Certificate of Incorporation and Copy
- Articles of Incorporation and Copy
- Memorandum of Association and Copy (if registered before 2004)
- Special Resolution from COJ (if amendments were made to Articles)
- MIIC Special Resolution form
- Send completed form to commerce@miic.gov.jm or deliver to 4 St Lucia Avenue Kingston 5
